(LDC) Senior Manager - Commercial Legal.Legal and Regulatory

Education: LLB and admission as attorney or advocate. Masters advantageous.

Experience: Minimum 8 years post articles experience including commercial law; experience in network infrastructure build and procurement; telecommunications industry advantageous.

Training: Systems, products and processes; ongoing legislative and regulatory training.

(Limited Duration Contract): SM - Commercial Legal

Strategic input:

Provide inputs to GM Commercial Legal in defining frameworks; contribute to long term strategy; forecasts 2-5 years; manage legal requirements, transactions and initiatives with focus on:

• Procurement contracts
• Network infrastructure build
• ICT contracts 
• Participation in the formulation and management of intellectual property
• Exposure to Consumer Protection Act, National Credit Act, WASPA Code, Electronic Communications and Transaction Act
• Provision of legal and risk related advice
• Provision of legal advice in respect of all Intellectual Property related matters
• Regulatory environment (collaboration with regulatory advisors)

Operational Planning and Process Enhancement:

Conduct legal research; provide input into policies, procedures and budgets; drive best practice; manage identification of critical issues; develop legal templates; provide guidelines to Legal Advisors.

Commercial Legal Support:

Support MTN SA business functions; proactively identify legal risks; provide legal advice and opinions, advise, draft, negotiate and formalise contracts across the business; support Regulatory department; ensure legal compliance; oversee Legal Advisors; manage negotiations; review major agreements; maintain precedents; advise executive management on governance, regulation and legislative impacts; provide company secretarial support.

Reporting:

Collate information from Legal Advisors; oversee Commercial Legal reports; periodically report key legal risks.

Supplier Relationship Management:

Manage external attorneys; identify support requirements; develop annual plans; monitor performance; provide input to Supplier Performance Management.

Customer Satisfaction:

Build relationships with customers; understand needs; ensure systems and processes satisfy requirements; proactively prevent problems; identify trends and drive continuous improvement.

Managerial / Supervisory Complexity:

Mentor legal advisors; assist recruitment; handle matters in absence of GM; build employee relations; communicate effectively; deploy resources; manage diversity and employment equity; manage workflow boundaries.

Role Complexity:

Deputize for GM Commercial Legal; participate in ad hoc projects; assist with complex unresolved problems.

Align legal focus with business strategy; draft and review complex contracts; exercise judgement; create systems and strategies; manage legal and commercial aspects of new projects and acquisitions; optimize processes.
